Livance Management Private Limited ("Livance," "we," "us," or "our") is the owner and/or operator of the workspace centres listed on livance.co.in (the "Site"), through which we directly provide Virtual Office, Managed Office, Coworking/Dedicated Desk, Meeting Room, and Day Pass services ("Services") at our own premises. Unlike marketplace or aggregator platforms, Livance is the party actually delivering the space, infrastructure, and facilities you book. We do not merely list or refer third-party spaces.
By accessing the Site, creating an account, making a booking, or making any payment through the Site, you ("User," "Member," "Client," or "you") agree to be bound by these Terms & Conditions ("Terms"), our Refund & Cancellation Policy, our House Rules (as displayed at the relevant centre), and our Privacy Policy. If you do not agree, please do not use the Site or avail of our Services.
We may modify these Terms at any time. Continued use of the Site or Services after any change constitutes your acceptance of the revised Terms. The version published on the Site at the time of your transaction shall govern that transaction. For Managed Office and long-term Dedicated Desk arrangements, the specific service/licence agreement signed with you shall prevail over these general Terms to the extent of any conflict.
The Site and Services are available only to individuals who are at least 18 years of age and to entities (proprietorships, partnerships, LLPs, or companies) that are legally authorized to enter into binding contracts under Indian law. By using the Site, you represent and warrant that you meet this requirement and that all information you provide is true, accurate, and belongs to you or an entity you are duly authorized to represent.
All Services listed below are provided directly by Livance at premises owned, leased, or operated by Livance. No Service on this Site is a third-party or aggregated listing.
Virtual Office: A registered business address at our premises, with supporting documentation (NOC, leave-and-licence agreement, utility bill, as applicable), typically booked on an annual basis.
Managed Office: A dedicated, fitted-out office space at our premises, delivered under a separate leave-and-licence/service agreement that specifies the lock-in period, notice period, and exit terms applicable to that space.
Coworking / Dedicated Desk: Shared or dedicated desk access at our premises on a monthly (or longer) plan.
Meeting Rooms & Day Passes: Short-term, slot-based access to our premises for a fixed duration or date.
Access to any Service is granted on a leave-and-licence basis for the purpose of using the workspace and does not create any tenancy, lease, or other interest in the underlying property. Livance reserves the right to reasonably relocate you to an equivalent or better workstation, cabin, or room within the same centre (at no additional cost) where operationally necessary, with prior notice where practicable.
We do not guarantee outcomes that depend on third parties or government authorities (e.g., GST/MCA registration approval, bank account opening, or on-ground verification outcomes) in relation to documentation issued for Virtual Office/Managed Office addresses. Cancellation and refund terms differ by Service type and are set out in full in our Refund & Cancellation Policy.
4.1 To avail Virtual Office, Managed Office, or Coworking/Dedicated Desk Services, you will be required to create an account and complete a Know Your Customer ("KYC") process, including submission of identity proof (PAN, Aadhaar/Passport), address proof, a recent photograph, and other business documents as applicable to the Service. Meeting Room and Day Pass bookings may require only basic identity verification at the time of check-in.
4.2 No Service shall be activated, and no access credentials, keys, or documents shall be issued, until the KYC process is completed to our satisfaction. We reserve the right to reject, pause, or cancel a booking or service request, without liability, if:
4.3 You are solely responsible for the accuracy of the information and documents you submit. Livance is not liable for any rejection, delay, or adverse consequence (including with government authorities, banks, or third parties) arising from incorrect, incomplete, or fraudulent information or documents supplied by you.
5.1 All payments on the Site are processed through Razorpay Software Private Limited ("Razorpay"), a third-party, RBI-recognised, PCI-DSS compliant payment gateway. By making a payment, you also agree to Razorpay's applicable terms of service and privacy policy.
5.2 Livance does not collect, store, or have access to your full card, UPI, or net-banking credentials. These are processed and secured entirely by Razorpay and the relevant issuing bank/UPI provider. Livance's liability is limited to the correct transmission of your payment instruction to Razorpay and shall not extend to any failure, delay, or error occurring at the gateway, bank, or network level.
5.3 A booking, order, or service request is considered confirmed only upon successful receipt of payment confirmation from Razorpay, and not merely upon initiation of a payment attempt.
5.4 Security Deposit. For Managed Office and Coworking/Dedicated Desk Services, you may be required to pay an interest-free, refundable security deposit in addition to your service fee, as specified at the time of booking. The deposit is refundable within 15 business days of vacating the premises, subject to deduction for unpaid dues, damage to Livance property or fixtures beyond normal wear and tear, or unreturned access cards/keys.
5.5 In case of a failed transaction where an amount has been debited from your account but not confirmed on our Site, please contact us with the transaction reference ID. Any such genuinely failed/duplicate transaction will be verified against Razorpay's records and reconciled or refunded in accordance with our Refund Policy and applicable RBI timelines, and not merely on the basis of your claim.
5.6 Chargebacks and Unauthorized Disputes. If you raise a chargeback, dispute, or reversal request with your bank, card network, or UPI provider without first raising the issue with Livance through our official support channel and allowing us a reasonable opportunity (minimum 7 business days) to resolve it, Livance reserves the right to:
5.7 We reserve the right to hold, verify, or decline any transaction that our systems or Razorpay's risk engine flag as suspicious, and to request additional verification before releasing the Service, access, or any associated documents.
All prices displayed on the Site are exclusive of applicable taxes (GST) unless stated otherwise. You will be charged the total amount, inclusive of taxes, at checkout. A tax invoice will be issued electronically to your registered email upon successful payment. It is your responsibility to ensure your GSTIN and billing details are accurate at the time of booking; corrections after invoice generation may not be possible.
7.1 You agree to use the premises, furniture, fixtures, and shared amenities with reasonable care and in accordance with the House Rules displayed at the relevant centre, including rules on noise, guests, security, fire safety, and access timings.
7.2 You are liable for any damage to Livance property, fixtures, or equipment caused by you, your employees, or your guests, beyond normal wear and tear, and such cost may be deducted from your security deposit or separately invoiced.
7.3 Access cards, biometric access, keys, or credentials issued to you remain the property of Livance and must be returned upon termination or expiry of your Service. Loss of an access card/key may attract a reasonable replacement charge.
7.4 Livance provides standard infrastructure (power backup, internet connectivity, housekeeping, etc.) on a best-efforts basis. Livance is not liable for temporary disruptions caused by utility providers, internet service providers, or events beyond its reasonable control, though we will make commercially reasonable efforts to restore services promptly.
You agree that you shall not:
8.1 provide false, misleading, forged, or another person's/entity's identity or business documents for the purpose of availing Services;
8.2 use the Site, Services, premises, or the address/documents provided by Livance for any unlawful purpose, including but not limited to money laundering, tax evasion, shell-entity creation, or misrepresentation to any government authority, bank, or regulator;
8.3 threaten, coerce, or attempt to extract a refund, discount, or concession from Livance staff through abusive language, threats of reputational harm, or threats of filing false police/cybercrime complaints;
8.4 file a police complaint, cybercrime complaint, or bank dispute containing information you know, or have reason to believe, is false or misleading, with the intent of pressuring Livance into a refund, concession, or other advantage outside of the process set out in these Terms;
8.5 sublet, sub-license, or share your allotted desk/office/address with any person or entity not disclosed to and approved by Livance; or
8.6 interfere with, disrupt, or attempt unauthorized access to the Site, our systems, our premises' security, or other members' data or space.
A breach of this Section is a material breach of these Terms and entitles Livance to immediately suspend or terminate your account, access, and Services, retain amounts paid to the extent permitted under our Refund Policy, pursue civil remedies for losses caused (including legal costs and cost of reinstating the premises), and independently report unlawful conduct to the appropriate authorities.
All content on the Site (including text, logos, graphics, templates, and documentation formats) is owned by Livance or its licensors and is protected under Indian intellectual property law. You are granted a limited, non-exclusive, non-transferable licence to use the Site for its intended purpose. No content may be copied, reproduced, or used commercially without our prior written consent.
Refunds and cancellations are governed exclusively by our separate Refund & Cancellation Policy, which forms part of these Terms by reference. Please review it carefully before making a payment. For Managed Office and Dedicated Desk arrangements with a specified lock-in period, the exit and notice terms of your signed service/licence agreement shall prevail over the general Refund Policy.
To the fullest extent permitted by law, the Site and Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Livance does not warrant or guarantee approval, verification, or acceptance of any application, registration, account, or visa by any third party, bank, or government authority.
To the fullest extent permitted by law, Livance, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, punitive, or consequential damages, or for any loss of profit, business, or data, arising from your use of the Site, premises, or Services, except where such loss arises from Livance's gross negligence or wilful default. In any event, Livance's total aggregate liability to you, arising out of or relating to these Terms or the Services, shall not exceed the amount actually paid by you for the specific Service giving rise to the claim in the preceding 3 months.
You agree to indemnify and hold harmless Livance, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms or House Rules; (b) your violation of any law or third-party right; (c) any false, misleading, or fraudulent information or documents provided by you; or (d) damage caused by you, your employees, or your guests to Livance's premises or property.
We reserve the right to suspend or terminate your account, access, or Services, without prior notice, if we reasonably believe you have breached these Terms or House Rules, provided fraudulent information, engaged in abusive conduct, defaulted on payment, or exposed Livance to legal, financial, or reputational risk. Termination does not entitle you to a refund except as expressly provided in our Refund Policy or your signed service/licence agreement.
Livance shall not be liable for any failure or delay in providing the Services due to causes beyond its reasonable control, including fire, flood, earthquake, pandemic, government order, strike, civil unrest, or structural/building-level disruption at the premises. Where such an event renders a booked space unusable for a material period, Livance will, at its discretion, either provide an alternative equivalent space or issue a pro-rata credit/refund for the affected period only.
These Terms are governed by the laws of India. Subject to Section 17 (Dispute Resolution), the courts at Gurgaon, Haryana shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.
In the event of any dispute, you agree to first raise the issue in writing with our support team at support@livance.co.in and allow us a minimum of 7 business days to investigate and respond before escalating the matter to a bank, payment gateway, consumer forum, police authority, or court. This clause does not restrict your statutory right to approach a consumer forum or law enforcement authority, but non-compliance with this clause may be relied upon by Livance as evidence of bad faith in any subsequent proceeding.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force. Our failure to enforce any right under these Terms shall not be deemed a waiver of that right. These Terms, together with our Refund Policy, House Rules, and Privacy Policy, constitute the entire agreement between you and Livance regarding your use of the Site, premises, and Services.
